Agreement to Terms

By accessing or using Jishu Labs' services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Use of Services

Our services are provided for legitimate business purposes only. You agree to:

Intellectual Property

Client Projects

For software development services:

• We grant you full ownership of custom code developed specifically for your project
• We retain rights to our pre-existing tools, libraries, and methodologies
• You grant us permission to use project details for portfolio purposes (with confidential information removed)
• All deliverables are subject to acceptance criteria defined in project agreements

Payment Terms

Payment terms are specified in individual service agreements. Generally:

• Payments are due according to the agreed schedule
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment
• All fees are non-refundable unless otherwise specified

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of business. This includes but is not limited to trade secrets, business plans, and technical specifications.

Warranties and Disclaimers

Our services are provided 'as is' and 'as available'. We make no warranties, express or implied, regarding:

• The completeness, accuracy, or reliability of our services
• That our services will meet your specific requirements
• That our services will be uninterrupted or error-free
• The results that may be obtained from use of our services

Limitation of Liability

To the maximum extent permitted by law, Jishu Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of our services.

Indemnification

You agree to indemnify and hold harmless Jishu Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.

Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms of Service. Upon termination, your right to use our services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms of Service on this page and updating the 'Last Updated' date.
